چکیده:
زمینه و هدف: کار حاضر در زمینه کشف شیوهای علمی – کاربردی در جهت تشخیص و تعیین انواع بطلان (مطلق، نسبی و عدم وجود) قرارداد در حقوق دو کشور ایران و فرانسه به کنکاش پرداخته است. در حقوق این دو کشور، جهت تشخیص انواع و مصادیق بطلان از سه معیار کلی "شرایط صحت عقد"، "عدم قابلیت استناد" و "منافع عمومی در مقابل منافع خصوصی" استفاده شده و معیار اخیر به عنوان معیار اصلی انتخاب و وارد قانون مدنی جدید فرانسه نیز گردیده است. نظر به عدم کفایت معیارهای نامبرده، هدف از تحقیق حاضر کشف روشی قاعده مند و نو برای تعیین و تشخیص انواع بطلان در حقوق این دو کشور بوده است. روش شناسی: تحقیق به شیوه توصیفی – تحلیلی صورت پذیرفته و گردآوری اطلاعات به شیوه کتابخانهای صورت پذیرفته است. یافتهها و نتایج: این مقاله ضمن بررسی مفهوم و مصادیق سه معیار فوق، اولا از معیار "غیر قابل استناد بودن" به مناسبت استقلال آن در مقابل ضمانت اجرای "بطلان" رویگردان شده است؛ ثانیا هیچکدام از معیارهای فوق را به عنوان معیار کلی جهت تشخیص نوع بطلان به رسمیت نشناخته است؛ ثالثا به جای معیار غالب، معیار "نظم عمومی در مقابل نفع خصوصی" را پسندیده است؛ رابعا معیارهایی جدید همچون "قواعد آمره"، "عقل"، "عرفهای آمره" و "عدالت" را پیشنهاد نموده است، خامسا برای هر معیاری طبع متلون و پیچیده قائل و هیچ معیاری را به نحو مطلق نماینده نوع خاصی از بطلان ندانسته است.
Field and Aims: The present work has delved into the field of discovering a scientific-applied method to detect and determine the types of nullity (absolute, relative and non-existence) of the contract in the laws of Iran and France. In the laws of these two countries, in order to distinguish the types and examples of invalidity, three general criteria are used: "Conditions of the validity of the contract", « uninforceability » and "Public interests versus private interests" and the latter criterion is the main criterion for selection and entered into the civil law. France has also become new. Considering the inadequacy of the mentioned criteria, the purpose of the present research was to discover a regular and new method to determine and recognize the types of invalidity in the laws of these two countries.
Finding and Conclusion: While examining the concept and examples of the above three criteria, this article has first turned away from the criterion of « uninforceability » on the occasion of its independence against the guarantee of "Nullity" implementation; Secondly, it has not recognized any of the above criteria as a general criterion for recognizing the type of invalidity; Thirdly, instead of the dominant criterion, he liked the criterion of "public order versus private and public interest"; Fourthly, he has proposed new criteria such as "rules of commandment", "reason", "customs of commandment" and "justice"; 5th, it has considered each criterion to be ambiguous and complex and has not considered any criterion to represent a certain type of invalidity in an absolute way.
