چکیده:
از گذشتههای بسیار دور برپایه ضرورت و سپس مبتنی بر عرف و قوانین و مقررات، طرفهای قراردادها و معاملات تجاری برای اطمینان از اجرای درست و بی کم و کاست تعهدات، نهاد حقوقی تضمین را بنا گذاشتند. با این منظور و هدف که چنانچه متعهد در اجرای تعهداتش تاخیر داشت، یا آن را ناقص و یا نادرست اجرا نمود و یا اساساً از اجرای تعهد یا تعهداتش، خودداری کرد متعهدله بتواند از محل تضمین یا وثیقه، زیانهای خویش را جبران و مطالباتش را دریافت نماید. در این راستا افزون بر ضمان اشخاص، علیالاصول، هر شیئ مادی یا هر حق مالی دارای ارزش اقتصادی نیز میتواند به عنوان تضمین در معاملات، منظور و مورد بهرهبرداری قرار گیرد. مشروط بر اینکه امکان جبران زیان و برداشت مطالبات از محل آن، وجود داشته باشد. از این رو، تضمینها در معاملات و به تبع، مقررات حاکم بر آنها همواره از تنوع و گوناگونی به نسبت فراوان برخوردار بوده و به پیروی از تغییر و تحولات در شیوه معاملات، تغییر و تحولات در این حوزه هم روزافزون بوده است. در کنار تنوع تضمینها به پیروی از اقتضای گونهی قرارداد و متفاوت بودن شرایط تعیین تضمین برای معاملات میان اشخاص خصوصی با بخشهای دولتی، هرگاه معامله یا قرارداد در سطح بینالملل، محقق گردد بر دامنه این تنوع و تفاوتها نیز افزوده میشود و پیچیدگی مقررات حاکم بر تضمینها را بیشتر مینماید.
From immemorial times, based on necessity and then based on custom and rules and regulations, to ensure the correct and unconditional implementation of obligations, the legal institution of guarantee was established among parties of contracts and transactions. For this purpose, if the obligor delayed the fulfillment of his obligations, or performed it incompletely or incorrectly or essentially refused to fulfill his obligation or obligations, the obligor could seek compensation for his losses from the guarantee or mortgage and receive his claims. In this regard, in addition to personal guarantee, in principle, any material object or any financial right with economic value can also be used as a guarantee in transactions, provided that it is possible to compensate the loss and withdraw the claims from its provision. Therefore, guarantees in transactions and, consequently, the rules governing them have always been relatively diverse and have been increasingly following the changes on the way of transactions, changes and developments in this area. Along with the diversity of guarantees in following the requirements of the type of transactions and the different conditions for determining the guarantee for transactions between private individuals and public sectors, whenever a transaction or contract is realized at the international level, the scope of this diversity and differences are also added, thus increasing the complexity of the rules governing guarantees.
